Please read these Terms carefully before using Proxio. They explain what you can expect from us and what we expect from you. By using the Platform you agree to be bound by them.

1. Acceptance of Terms

By accessing or using Proxio (the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Platform. We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. We will note the "Last updated" date at the top of this page whenever changes are made.

2. Description of the Platform

Proxio is an online marketplace that connects individuals seeking local services ("Customers") with independent tradespeople and service professionals ("Providers"). Proxio is a technology platform only. We do not employ Providers, perform services, or guarantee the quality, safety, legality, or completion of any service arranged through the Platform. All transactions are between Customers and Providers directly. Proxio is not a party to any service agreement, booking, or payment between them.

3. Accounts & Registration

To use certain features of the Platform you must create an account. You agree to: - Provide accurate, current, and complete information during registration. - Keep your account credentials secure and not share them with anyone. - Notify us immediately if you suspect unauthorised access to your account. - Be responsible for all activity that occurs under your account. You must be at least 18 years old to create an account. Accounts are personal and non-transferable.

4. Customer Obligations

As a Customer you agree to: - Use the Platform only to request legitimate services. - Provide accurate job descriptions and contact details in booking requests. - Treat Providers with respect during all interactions on and off the Platform. - Leave only honest, first-hand reviews based on genuine completed bookings. - Not attempt to circumvent the Platform to arrange services with a Provider met through Proxio in order to avoid future Platform use.

5. Provider Obligations

As a Provider you agree to: - Provide only services you are qualified, licensed, and insured to perform where required by applicable law. - Ensure all information on your profile — including qualifications, certifications, and service descriptions — is accurate and kept up to date. - Fulfil confirmed bookings to a professional standard or communicate cancellations promptly. - Treat Customers with respect during all interactions. - Not solicit Customers met through Proxio to transact outside the Platform in a way that circumvents these Terms. - Comply with all applicable laws, regulations, and professional standards in your jurisdiction. Provider profiles are subject to approval by Proxio before appearing in search results. We reserve the right to reject, suspend, or remove any profile at our discretion.

6. User Content

You are responsible for any content you submit to the Platform, including profile information, service descriptions, messages, photos, reviews, and replies ("User Content"). By submitting User Content you grant Proxio a non-exclusive, royalty-free, worldwide licence to display, reproduce, and use that content to operate and improve the Platform. You must not submit User Content that: - Is false, misleading, or defamatory. - Infringes any intellectual property, privacy, or other rights of a third party. - Contains spam, unsolicited promotions, or malware. - Is offensive, harassing, or otherwise violates applicable law. We may remove any User Content at any time without notice.

7. Prohibited Conduct

You must not: - Use the Platform for any unlawful purpose or in violation of these Terms. - Attempt to gain unauthorised access to any part of the Platform or its infrastructure. - Scrape, crawl, or otherwise extract data from the Platform by automated means without our written permission. - Post or transmit any content that introduces viruses, malware, or other harmful code. - Impersonate any person or entity or misrepresent your affiliation with any person or entity. - Manipulate ratings or reviews, including by posting fake reviews or coercing others to do so.

8. Payments & Fees

Proxio does not currently process payments between Customers and Providers. All payment arrangements are made directly between the parties. You are solely responsible for any disputes, chargebacks, or losses arising from direct payment arrangements. Proxio may in the future offer paid features or subscriptions for Providers (such as featured placement). Any such fees will be clearly disclosed before purchase and are governed by the payment terms presented at the time of transaction.

9. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that: - The Platform will be uninterrupted, error-free, or secure. - Any Provider is licensed, insured, qualified, or suitable for a particular job. - Reviews or ratings accurately reflect any Provider's skills or reliability. You use the Platform and engage with Providers entirely at your own risk.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Proxio and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to: - Any service performed or not performed by a Provider. - Loss of data, revenue, or profits. - Personal injury or property damage caused by a Provider. Our total aggregate liability to you for any claim arising out of or related to these Terms or the Platform will not exceed the greater of (a) the amount you paid to Proxio in the 12 months preceding the claim, or (b) £100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Proxio and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Platform, your User Content, your violation of these Terms, or your violation of any applicable law.

12. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms. You may close your account at any time by contacting us. Closure does not affect any obligations that arose before the date of closure.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the courts of England and Wales.
